Hudson’s Bay take-private plan dealt blow by ISS

Hudson's Bay Co. Chairman Richard Baker's plans to take the Canadian retailer private were dealt a setback as a prominent shareholder advisory firm came out against the deal. Institutional Shareholder Services Inc. urged investors to vote against Baker and his partners' plans to take the owner of Saks Fifth Avenue private for C$1.9 billion ($1.4 billion). The advisory firm said there was no clear reason offered by the company why shareholders should accept the deal when private equity firm Catalyst Capital Group Inc. has offered a higher price. "Given that significant defects have been identified with the sale process, shareholders cannot be confident they are receiving maximal available value for their shares," ISS said in its report. Gabriel de Alba, Catalyst's managing director, alleged that a group led by Baker had engaged in an "egregious pattern of conflicts, misrepresentations and self-serving games." Growth projections collide with SF’s goal of zero net carbon emissions by 2050

The goal is tantalizing: Make San Francisco carbon neutral — meaning no net release of greenhouse gas emissions into the air — by 2050. Former Mayor Mark Farrell set the benchmark last year and Mayor London Breed accelerated the pace in September. But with the city’s economy booming and the population expected to swell to 1.2 million people, getting there could be incredibly difficult. “It’s time for us to start doing our planning work for the future,” said Doug Johnson, transportation planning manager with the city’s Planning Department. “Unfortunately, our future doesn’t look great right now.” The city is cobbling together a blueprint to meet San Francisco’s transportation needs for the next few decades, as development spreads south from the downtown core and a mega housing project rises on Treasure Island. Former Philadelphia Rev Deemed Unfit After 2nd Abuse Allegation

PHILADELPHIA — A former reverend at several Philadelphia catholic institutions has been removed from service after the Archdiocese of Philadelphia investigated allegations of abuse levied against him recently. He was previously accused of abuse in 2011. According to the Archdiocese, Reverend Monsignor Joseph L. Logrip, 74, was deemed unfit for ministry by the Archdiocesan Office of Investigations after he was accused of sexually abusing a minor in the early 1980s. Logrip served at Saint Monica from 1992 to 1994, Mater Dolorosa from 1994 to 2000, and Mother of Divine Grace from 2008 to 2010, all in Philadelphia. The Archdiocese learned of the allegation in late 2018 and was put on administrative leave and had his priestly faculties restricted in January 2019. The Archdiocesan Professional Responsibilities Review Board recently recommended to the Archbishop that Logrip was unsuitable for ministry based on a substantiated allegation of sexual abuse of a minor.
